Terms of Service & End User License Agreement

1. Agreement

These Terms of Service and End User License Agreement (the “Agreement”) are between you and EganAI, LLC (“we”, “us”), the publisher of BreadCode (the “Software”). By purchasing a license, downloading, or using the Software you agree to this Agreement.

2. License grant

Subject to your payment of the applicable fees, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software on up to 2 machines that you own or control, for your own internal use. The Software is licensed, not sold, and is closed-source; all rights not expressly granted are reserved.

3. License keys and activation

Licenses are issued as license keys after checkout through Stripe, our payments provider and merchant of record. You must keep your key confidential. The Software validates your key periodically and continues to operate for up to 7 days without a successful online validation. We may deactivate keys obtained fraudulently or used in breach of this Agreement.

4. Third-party services and AI providers

BreadCode is an orchestrator. It coordinates first-party coding-agent command-line tools that you install and run locally on your own machine — for example Claude Code (Anthropic), the Codex CLI (OpenAI), the Gemini CLI (Google), opencode, and any other agent or model provider you configure (each a “Third-Party Service”). Those tools connect to their providers directly, under the accounts and credentials you supply.

Your use of each Third-Party Service is governed solely by that provider’s own terms, and you deal with the provider directly. We do not control, endorse, or warrant any Third-Party Service, and we make no representation about its availability, outputs, accuracy, pricing, rate limits, usage allowances, or privacy practices. If a provider changes, discontinues, limits, degrades, or suspends its service, model, or plan, we are not liable for the consequences.

5. Your provider accounts, subscriptions, and keys

BreadCode operates on a bring-your-own-account basis. We do not resell, proxy, host, or route access to any Third-Party Service, we do not store your provider credentials on our servers, and we are not a party to the relationship between you and any provider. You are solely responsible for:

• obtaining and maintaining your own accounts, subscriptions, and API keys with each provider, and paying all provider fees, token or usage costs, and taxes;
• the security and confidentiality of your credentials;
• reviewing and complying with each provider’s terms of service and usage or acceptable-use policies, which can change without notice and which we have no duty to monitor on your behalf; and
• ensuring that your authentication method and plan tier actually permit the use you make of the provider through a third-party tool such as BreadCode.

Which provider terms apply to you depends on how you sign in. The table below is illustrative only — providers change these arrangements, so you must confirm the terms that currently apply to your account:

6. Provider availability and account standing

You acknowledge that Third-Party Services are outside our control and that providers may change, degrade, rate-limit, meter, or discontinue their services, models, or plans at any time. Providers may also suspend, restrict, throttle, ban, or terminate your account — including for automated, programmatic, high-volume, or parallel usage, for use through third-party tools, or for use they consider abusive or inconsistent with your plan tier. Any such enforcement is solely between you and the provider.

You are responsible for ensuring that your use complies with the provider’s terms for your specific plan — including any restrictions on automated access, third-party tools, credential sharing, or circumventing rate limits or usage allowances — and for all consequences of non-compliance, including loss of your account, loss of the value of a subscription, and any continued provider billing after a suspension.

BreadCode orchestrates the official first-party client that you install and authenticate yourself. It does not spoof, re-implement, proxy, or share provider credentials, and it does not circumvent provider authentication. We make no warranty that using a provider through BreadCode is or will remain permitted under that provider’s terms, and to the maximum extent permitted by law we disclaim all liability for any provider suspension, ban, throttling, data loss, or added cost arising from your use.

7. Your code and responsibility

The Software runs on your machine and operates on repositories you choose. You are responsible for the repositories you point it at, for reviewing changes it merges, and for maintaining backups. The Software provides verification gates and revert tooling, but you remain responsible for what you ship.

8. Restrictions

• No reverse engineering, decompiling, or circumventing license enforcement.
• No redistribution, resale, rental, or sublicensing of the Software or keys.
• No use of the Software to violate law or third-party rights.

9. Acceptable use

You agree not to use the Software to:

• train a competing model or product on the Software, or scrape, crawl, or harvest from it;
• do anything unlawful, or create, distribute, or deploy malware or other harmful code;
• infringe intellectual-property, privacy, or other rights of any third party; or
• violate any Third-Party Service’s terms — including by sharing credentials, running prohibited or undisclosed automation, circumventing rate limits or usage allowances, or reselling access.

10. Updates and availability

Updates are included while your license is active. We may add, change, or remove features. If your subscription lapses or your license key can no longer be validated, the Software will continue to operate for a short offline grace period and will then stop launching until a valid license is restored. Your projects are ordinary git repositories on your own disk and remain fully accessible with or without the Software.

11. Refunds

If BreadCode isn’t working out, you may request a full refund of your first subscription payment within 14 days of the initial purchase. Renewal payments are not refundable, but you can cancel at any time and keep access through the end of the paid period. Refunds are processed through Stripe. 12. Disclaimer of warranty

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY THIRD-PARTY SERVICE WILL BE AVAILABLE, PERMITTED, OR FIT FOR YOUR USE. AUTONOMOUS CODE CHANGES CARRY INHERENT RISK; YOU USE THE SOFTWARE AT YOUR OWN RISK.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR REVENUE. WE ARE NOT LIABLE FOR ANY CHARGES, USAGE OR TOKEN COSTS, OR OTHER LOSSES IMPOSED OR INCURRED THROUGH ANY THIRD-PARTY SERVICE. OUR TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SOFTWARE IN THE SIX MONTHS PRECEDING THE CLAIM OR (B) USD $100.

14. Termination

This Agreement terminates automatically if you breach it. Upon termination you must stop using the Software and destroy all copies.

15. Governing law

This Agreement is governed by the laws of the State of Delaware, USA, excluding its conflict-of-law rules.
